By downloading or using Yamaha Title Editing Software, you, the Authorized User ("Authorized User") agree to be bound by this YAMAHA Software LICENSE AND USER AGREEMENT. If you do not agree to the terms of this agreement you may not download or use this Software.

YAMAHA shall not be held liable for supporting unauthorized users. YAMAHA hereby grants to Authorized User a limited, non-exclusive, revocable license-at-will to use Software in accordance with the Permitted Uses specified in this license.

Authorized User may use Software only in conjunction with Yamaha CDR-HD1500.

Authorized User may not transfer, sell or license Software to any other user, whether or not the intended other user is authorized by YAMAHA. Authorized User may not copy Software, except as technologically necessary to perform one of the Permitted Uses. Authorized User may not reverse engineer, decompile, or disassemble Software.

Software is owned by YAMAHA. Authorized User acknowledges that the grant of license under this agreement is freely revocable by YAMAHA at any time and for any reason deemed sufficient by YAMAHA.

In no event will YAMAHA be liable for any damages, lost profits, goodwill, or other consequential, special or indirect damages suffered by Authorized User or any third party in connection with or arising from the use or performance of Software, even if YAMAHA has been advised of the possibility of such damages, or for any claim against Authorized User by any other party.

Authorized User hereby accepts all responsibility for the consequent results from the usage of Software. YAMAHA shall not be held liable for any results from using Software.

Authorized User hereby agrees to indemnify, reimburse and hold harmless YAMAHA and all affiliated entities from any and all damages, liability, costs, attorneys’ fees or other expenses incurred as a result of a claim made against YAMAHA based on the use or misuse of Software by any of Authorized User’s customers, clients, or purchasers.

YAMAHA warrants that (i) it may lawfully grant this license; and (ii) neither Software nor the use thereof within the scope of the license, infringes a patent or copyright or is claimed to be a trade secret of any person who has not consented to the granting of the license. THE FOREGOING WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. No employee or agent of YAMAHA is authorized to give a greater or different warranty.

Any and all terms and conditions of this License and User Agreement are separate from and in addition to any authorized Dealer agreement(s) that YAMAHA may have with Authorized User. This is the application software for creating titles, playlists and for performing title editing exclusively for the Yamaha CDR-HD1500 using your PC. Communication between the CDR-HD1500 and your PC is done via the RS-232C port on the CDR-HD1500 and the serial port on your PC.
