YAMAHA CORPORATION OF AMERICA ("YAMAHA")
CELEBRATE YOUR MUSIC WITH YAMAHA CONTEST (THE "CONTEST")
OFFICIAL RULES
1. ELIGIBILITY. The Contest is open to legal residents of and who currently reside in the 50 United States, are 18 years of age or older at time of entry and who have access to the Internet as of the date of entry. Employees of Yamaha Corporation of America ("Yamaha") and their respective parents, subsidiaries, affiliates and their immediately family members (spouse, parents, children and siblings and their respective spouses) are ineligible to enter and win. Void where prohibited by law, regulation and ordinance, and in U.S. possessions and territories. By participating in this Contest, entrants agree to these Official Rules and Yamaha's Privacy Policy as stated herein.

2. ENTRY. Entrant must electronically submit a video or audio recording of their original version of Walt Disney's "It's a Small World" (with a minimum of 1 minute and a maximum of 10 minutes) using his/her own musical instrument ("Submission"). All entries must be submitted and uploaded at http://www.yamaha.com/celebrate (the "Website") through Yamaha Online EasyPass ("EasyPass"). All information requested on EasyPass must be submitted to be an eligible entry. Entries will be accepted from October 22, 2008 until December 31, 2008. Entries must be received by Yamaha's servers no later than 11:59 p.m. (pst) on December 31, 2008. Incomplete, untimely, unreadable, garbled, lost, misaddressed or misdirected entries will be disqualified.

Entry Requirements and Restrictions: All Submissions must meet the format and file type requirements described on the Website. Instrumental or lyrical versions acceptable; a cappella versions also acceptable. Submissions with parodies or changes to the lyrics of "It's A Small World" are not allowed and will be disqualified. Submissions containing any of the following prohibited content are not allowed and will be disqualified: (i) content which copies, infringes, misappropriates, samples or misuses the intellectual properties of any third party; (ii) content that is abusive, deceptive, pornographic, obscene, defamatory, slanderous, offensive, or otherwise inappropriate, as determined by Yamaha in its sole discretion; (iii) content that contains samples of prior versions of "It's A Small World" or any other pre-existing, copyrighted work.

All entries will become the property of Yamaha. Limit one entry per individual per email address.

3. WINNER SELECTION. On or about January 1, 2009, submissions will be judged by a panel of five independent judges comprised of Yamaha artists, Disney Alliance Marketing staff and members of the music industry (the "Panel"). Each judge will choose his/her top ten Submissions (using the judging criteria set out below). Once the top 50 Submissions have been identified, each judge will review and score each of the 50 Submissions based on the following criteria, each criteria given equal weight:, creativity, musicality and originality. All points for each Submission will be totaled. The one Submission with the highest number of points will win first place, the "Judges" prize. All decisions of Judges are final.

The next five highest scoring submissions will be placed on the Website on or before January 8, 2009. At that time, the public can "vote" on the Website for their favorite submission (the "Fan" prize). Limit one vote per person . The entry with the highest number of votes cast as of 11:59pm (pst) on January 15th will be named the "Fan" favorite and will receive the 2nd place prize.

4. NOTIFICATION AND ACKNOWLEDGEMENT. Yamaha will notify the Entrant with the highest Judge total (the "Judges" prize) on or about January 5, 2008 via the email address listed on the Winner's EasyPass. The Winner must respond to Yamaha's notification within five business days or such Winner's entry may be disqualified, the prize forfeited, and the Submission with the next highest number of points selected will be awarded the prize. An Affidavit of Eligibility and Liability and Publicity Release may be required; if not returned by the required deadline, the entry may be disqualified and the prize forfeited.

Yamaha will notify the Entrant with the 2nd place prize Submission (the "Fan" prize) on or about January 16, 2008 via the email address listed on the Winner's EasyPass. The Winner must respond to Yamaha's notification within five business days or such Winner's entry may be disqualified, the prize forfeited, and the Submission with the next highest number of points selected will be awarded the prize. An Affidavit of Eligibility and Liability and Publicity Release may be required; if not returned by the required deadline, the entry may be disqualified and the prize forfeited.

The Winner will be responsible for any applicable federal, state and local taxes related to receiving the awarded prize. The Winner may choose not to accept the prize, in which case the Submission with the next highest number of points selected will be awarded the prize.

A list of Winners will be announced to the public at Winter NAMM 2009 and available on the Website on or about January 18, 2009.

4. PRIZES AND THEIR VALUE. The following prizes will be awarded:

1st Place Prize - The Judge's Winner will receive a Disneyland® Grand Prize Package which consists of the following: Four 3-day Disneyland® Resort Park Hopper® tickets for the Disneyland® Resort located in Anaheim, California (the "Resort"); standard hotel accommodations for a one-room (quad occupancy), two-night stay at a Resort hotel; Four round-trip coach airfare tickets from a metropolitan airport nearest Winner's home to an airport in Southern California (as chosen by prize supplier) and ground transportation to/from the Southern California airport and the Resort for the Winner and his/her three designated guests; an opportunity to perform at the Disneyland Resort (location within Disneyland Resort as chosen by prize supplier); one Yamaha musical instrument of Winner's choice which is valued at $750 (MSRP). If in the judgment of Sponsor air travel is not required due to Winner's proximity to prize location, ground transportation will be substituted for round trip air travel at Sponsor's sole discretion. All expenses not specifically mentioned herein are not included in the prize and are solely the Winner's responsibility, including but not limited to round trip transportation between the Winner's residence and the metropolitan airport nearest Winner's home, hotel room service, parking fees, laundry service, food, beverages, merchandise, souvenirs, local and long distance telephone calls, tips, gratuities and service charges. Airline carrier's regulations and conditions apply. Travel and lodging are subject to availability, certain restrictions and blackout dates apply and must be booked at least forty-five days prior to the date of arrival at the Resort. Trip must be completed by January 1, 2010. Prize Winner and companions must participate in the trip together on same dates; and any minor must be accompanied on the trip by his/her parent/legal guardian. The Winner and his/her guests will be required to complete and return to Yamaha a waiver indemnifying Yamaha, Disney Destinations, LLC and their affiliates from any and all liability related to the awarded prize. Failure to do so will result in disqualification and an alternate award recipient will be selected. The Yamaha musical instrument comes with available manufacturer warranty. The Winner's submission will be posted to www.yamaha.com/thehub for public view for a period of at least 3 months. [Approximate Retail Value of the 1st Place Judges Prize is $3250]

2nd Place Prize - The Fan Winner may select up to $1000 (MSRP) worth of Yamaha musical instruments and accessories (value based on MSRP). The Yamaha musical instrument(s) come with available manufacturer warranty. The Winner's submission will be posted to www.yamaha.com/thehub for public view for a period of at least 3 months. [Approximate Retail Value of the 2nd Place Fan Prize is $1000]

The approximate retail value of the prizes to be awarded in this Contest is $4250 (MSRP). Retail value is subject to change without notice to entrants. No prize substitutions, cash equivalent or transfer of prizes permitted except at the sole discretion of Yamaha. Prizes are subject to restrictions and may not be used in conjunction with any other promotion or offer. Winners will be identified on Yamaha's website at www.yamaha.com/thehub. Winners will receive an IRS form 1099 from Yamaha. Yamaha is not responsible for lost or misdelivered prizes due to entrant's inaccurate or improper address information. Yamaha is not responsible for lost, stolen or damaged prizes, once received and in the possession of prizewinner. Prizes may not be exchanged for cash or otherwise, except that Yamaha retains the right to substitute prizes of equal or greater retail value.

5. INTERNET. If, for any reason, Yamaha is unable to conduct this Contest as planned due to technical failures, such as those caused by a computer virus, hacking, other unauthorized interference, fraud, or any other cause beyond the control of Yamaha which obstructs or otherwise adversely affects the proper administration, reliability, fairness, or integrity of the Contest, Yamaha reserves the right, at its sole discretion, to disqualify any person found to have interfered or tampered with the Contest, and if deemed necessary by Yamaha in its sole discretion, to cancel, terminate, modify or suspend the Contest. Yamaha assumes no responsibility for any failure in transmission, however caused, including any omission, interruption, deletion, defect, communications line failure, theft or destruction of information or unauthorized access to entries, their damage or alteration. Yamaha is not responsible for its failure to receive any email, essay or entry form due to software failure, technical problems, human error or transmission congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to an Entrant's, or any other person's, computer relating to or resulting from participation in this Contest or downloading of any materials in this Contest. CAUTION: YAMAHA RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER PENALTIES, OR REMEDIES, TO THE FULLEST EXTENT PERMITTED BY LAW, FROM ANY PERSON(S) ATTEMPTING TO DELIBERATELY INTERFERE WITH THE CONDUCT OF THIS CONTEST OR TO DAMAGE THE WEBSITE.

If a dispute arises over the identity of the person who transmitted an entry via an identified email address, the "Authorized Account Holder" of the email address submitted at time of entry will be deemed to be the Entrant. The "Authorized Account Holder" is defined as the natural person assigned to an email address by an internet access provider, online provider or other organization (e.g. business, education institution, etc.) responsible for assigning email addressees for the domain associated with the submitted email address. Any entry sent through the use of an automated sending device will not be accepted and will not be considered a valid entry.

6. PRIVACY. Except as provided above, all personal information supplied by Entrants will be subject to Yamaha's Privacy Policy, which is located at www.yamaha.com/privacypolicy.asp

7. RELEASE. By participating in this Contest, all entrants and prize winners release, discharge, and hold harmless Yamaha Corporation of America, its parent company, Yamaha Corporation, Disney Destinations, LLC, and their respective partnerships, subsidiaries, divisions, branches, affiliates, assigns and agencies, including, without limitation, their respective officers, directors, shareholders and employees (collectively "Released Parties") from and against any and all liability or claims for any injury, loss, illness, litigation or damages arising out of their participation in the Contest and/or the acceptance, use, misuse, non-use or possession of the prize. Any portion of the prize not accepted by Winner will be forfeited, and the Released Parties are not responsible for any inability of the Winner to accept or use the prize (or portion thereof) for any reason. Released Parties are not responsible for printing or typographic errors in any Contests or related material or for stolen, lost, late, misdirected, damaged, incomplete, postage due, and/or illegible entries or mail. If, in Yamaha's opinion, there is any suspected or actual evidence of a virus, bug, tampering, unauthorized intervention, fraud technical failures or other causes beyond Yamaha's control corrupt the administration, securities, fairness integrity or proper play of the Contest and award the prize from all eligible entries received to date tampering with any portion of the Contest, Yamaha reserves the right in its sole discretion to disqualify any individual and/or void any entries submitted fraudulently, to modify or suspend the Contest, or to terminate the Contest and award the prize using all non-suspect eligible entries received as of the date of such action. In the event that any dispute arises regarding the meaning or interpretation of these Official Rules, participants agree that the dispute shall be resolved by applying the laws of California and that it shall be resolved by and within the courts of that state.

By entering the Contest, you hereby agree to the following: (i) your Submission is your original work, (ii) your Submission does not violate or infringe on the rights of any third parties, (iii) no copyrighted images will be used without the express written permission of the copyright owner, (iv) the Submission will not consist of or include any content that would be considered abusive, deceptive, pornographic, obscene, defamatory, slanderous, offensive, or otherwise inappropriate (v) you are not authorized to make any other use of "It's A Small World" other than the limited rights granted herein by Disney Destinations LLC. Yamaha has the sole right (but not the obligation) to review and reject any Submission for any reason, at any time. You agree that by entering your Submission to Yamaha, you will indemnify and hold Yamaha harmless from any costs, claims or losses (including reasonable attorneys' fees) which may arise from or relate to any third party claim that asserts conduct that would, if proven, be a breach of the above representations.

8. GENERAL CONDITIONS. All federal, state and local laws apply. Yamaha Corporation of America is the final interpreter of these Official Rules. The decisions of Yamaha are final in all matters relating to the Official Rules. By participating in this Sweepstakes you agree to the use of your name, photograph, likeness and/or identity for advertising, publicity and promotional purposes, without compensation, unless prohibited by law. You will also be added to Yamaha's mailing list subject to Yamaha's Privacy Policy and opt-out provisions.
